By downloading, installing, or using the Soulmate application, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Soulmate ("Company", "we", "our", or "us") governing your access to and use of the Soulmate mobile application, website, and all related services (collectively, the "Service"). These Terms apply to all visitors, users, and others who access or use the Service.
You must be at least 17 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
2. Description of Service
Soulmate is an AI companion application that provides personalized conversations, mood and habit tracking (My Day), AI-generated journaling, voice messaging, and related features. The Service uses third-party AI models (including Anthropic Claude) to generate responses.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. Accounts & Registration
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your account credentials and not share them with others.
- Promptly notify us of any unauthorized use of your account.
- Be responsible for all activities that occur under your account.
We reserve the right to terminate accounts, remove or edit content, or cancel orders at our sole discretion.
4. Subscriptions & Payments
Soulmate offers the following subscription tiers:
- Free: 50 messages per month. No payment required.
- Plus ($9.99/month): Unlimited messages, voice messages, image sharing, Journal, and full memory layers.
- Pro ($19.99/month): Everything in Plus, plus access to Claude Sonnet and home screen widget.
Subscriptions are billed through Apple's App Store (In-App Purchase). Payment is charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period. You may manage your subscription and turn off auto-renewal in your Apple ID Account Settings at any time.
Refunds: Subscription purchases are subject to Apple's standard refund policies. We do not process refunds directly. Please contact Apple Support for refund requests.
We reserve the right to change subscription prices with reasonable advance notice. Continued use of the Service after a price change takes effect constitutes agreement to the new pricing.
5. Free Tier Limitations
Free tier users are limited to 50 messages per calendar month. After reaching this limit, messaging functionality will be restricted until the next calendar month or until you upgrade to a paid subscription. We reserve the right to adjust free tier limits at any time with reasonable notice.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights.
- Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
- Attempt to gain unauthorized access to any part of the Service or its related systems.
- Reverse engineer, decompile, or disassemble any portion of the Service.
- Use the Service to generate content intended to deceive, manipulate, or harm others.
- Circumvent any technical limitations, usage caps, or rate limits.
- Use automated scripts or bots to interact with the Service.
- Impersonate any person or entity, or falsely state your affiliation with any person or entity.
- Collect or harvest any personally identifiable information from the Service.
- Use the Service for any commercial purpose without our prior written consent.
7. AI-Generated Content & Limitations
The Service uses AI models to generate responses and content. You acknowledge and agree that:
- AI responses are generated automatically and may be inaccurate, incomplete, outdated, or inappropriate.
- Soulmate is not a substitute for professional medical, psychological, legal, financial, or other professional advice.
- You should not rely on AI responses for critical life decisions, medical diagnoses, or emergency situations.
- If you are experiencing a mental health crisis, please contact emergency services or a qualified mental health professional.
- We do not guarantee the accuracy, reliability, or fitness for any particular purpose of AI-generated content.
8. User Content
You retain ownership of all content you submit to the Service ("User Content"), including messages, images, and voice recordings. By submitting User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service.
You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate any third-party rights or applicable laws.
We do not sell your User Content and do not use it for advertising. See our Privacy Policy for details on how your data is processed.
9. Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Soulmate and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
10. Privacy
Your privacy is important to us. Please review our Privacy Policy, which describes how we collect, use, and share information about you when you use our Service. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED BY THE SERVICE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOULMATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify and hold harmless Soulmate and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.
14. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may delete your account at any time through the app settings.
All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
15. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by sending an in-app notification. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
